Terms of Service

Welcome to OpusFab. These Terms of Service ("Terms") govern your access to and use of the OpusFab platform, including our website, services, and applications (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

1. Company Information

OpusFab is operated by OpusFab Pte Ltd, a company incorporated in Singapore with registered office at 68 Circular Road, #02-01, Singapore 049422. Our services are provided in accordance with Singapore law. For inquiries, contact us at [email protected].

2. Eligibility

By using our Services, you represent and warrant that:

  • You are at least 18 years of age or the legal age of majority in your jurisdiction
  • You have the legal capacity to enter into a binding contract
  • The information you provide during registration is accurate, complete, and current
  • You will promptly update your information if it changes
  • You are using our Services for legitimate business or personal prototyping purposes

3. Scope of Services

OpusFab provides rapid CNC prototyping and manufacturing services for engineering teams, product developers, and hardware companies. Our Services are designed for the production of prototypes, one-off parts, and small-batch production runs (generally fewer than 500 units per order).

We are a prototype manufacturer, not a mass-production facility. We do not provide tooling design, injection moulding, or other high-volume manufacturing services. All parts are produced on a per-order basis using CNC machining, turning, and related processes from raw material stock.

We reserve the right to decline any order that falls outside our manufacturing capabilities, exceeds our capacity, or does not meet the requirements set out in these Terms.

4. Intellectual Property

You retain all ownership rights to your CAD files, designs, and any other content you upload. By uploading content, you grant us a limited, non-exclusive, revocable license to use, process, analyze, and store such content solely for the purpose of providing our Services to you.

You represent and warrant that you own or have the necessary rights to all designs, files, and intellectual property you submit to us, and that the manufacture of such parts does not infringe any third-party patent, trademark, copyright, trade secret, or other intellectual property right.

5. CAD Files and Manufacturing

Our Platform accepts CAD files in STEP format. Maximum file size is 50MB per upload. You are responsible for ensuring your files are in the correct format and are suitable for the manufacturing process you request.

Our automated analysis system provides indicative quotes based on your uploaded files. All quotes are subject to review by our engineering team before acceptance. We reserve the right to refuse any order that our engineering team determines is not manufacturable, unsafe, or otherwise unsuitable.

6. Prohibited Designs and Uses

OpusFab manufactures prototypes for legitimate engineering, product development, and research purposes only. You may not use our Services to manufacture any of the following:

  • Weapons and weapon components: Firearms, firearm parts (including receivers, barrels, triggers, and magazines), ammunition, explosives, detonators, or any component designed for use in a weapon system
  • Controlled and regulated items: Items subject to export control regulations (including but not limited to Singapore's Strategic Goods Control Act), defence articles, or items on any government-controlled goods list
  • Counterfeit goods: Replicas, knock-offs, or unauthorised copies of branded products, patented inventions, or copyrighted works
  • Illegal products: Drug paraphernalia, items designed to evade security systems, lock-picking tools, surveillance devices intended for unlawful use, or any item prohibited by Singapore law or the law of your jurisdiction
  • Hazardous materials: Items containing radioactive materials, biological agents, or toxic substances that require special handling licences
  • Medical implants and devices: Any item intended for implantation in the human body or for direct medical diagnosis or treatment, unless you provide valid regulatory approval from the relevant authority (e.g., HSA Singapore, FDA, CE mark)
  • Aerospace and automotive safety-critical parts: Parts intended for use in aircraft, spacecraft, or motor vehicles where failure could result in death or serious injury, unless you provide appropriate certification and liability waivers

We reserve the right to refuse any order at our sole discretion if we suspect the design may be intended for a prohibited use. We may also report suspicious orders to the relevant authorities as required by law.

You are solely responsible for ensuring that your designs and the intended use of manufactured parts comply with all applicable laws and regulations. OpusFab acts as a manufacturing service provider only and does not verify the end use of parts.

7. Quotes and Pricing

All quotes generated by our Platform are valid for 24 hours from the time of generation. After this period, the quote expires and a new quote must be requested. Prices are quoted in US Dollars (USD) unless otherwise specified.

Acceptance of a quote does not constitute an immediate production order. All orders are subject to final engineering review, confirmation of payment, and manufacturing capacity availability. OpusFab reserves the right to refuse or cancel any order at any time, with a full refund provided.

8. Manufacturing Tolerances

Unless otherwise specified in writing, parts will be manufactured to our standard tolerances of ±0.05mm for machined dimensions. This is suitable for most general-purpose applications.

For applications requiring tighter tolerances, we offer precision manufacturing at ±0.01mm at a higher cost. If you require specific tolerances different from our standard or precision options, you may upload a 2D drawing specifying your requirements.

9. Payment Terms

9.1 Payment Methods

We accept the following payment methods: credit and debit cards (Visa, Mastercard, American Express), bank transfers, and other methods as made available through our payment processor, Stripe. All payment processing is handled securely in compliance with PCI DSS standards. Payment must be received and cleared before production begins.

9.2 Currency

All transactions are conducted in US Dollars (USD). For international customers, your payment provider will convert at the prevailing exchange rate at the time of transaction. You are responsible for any foreign transaction fees charged by your bank or card issuer.

9.3 Payment Authorization

By providing your payment information, you authorize OpusFab and our payment processor to charge the applicable amount to your selected payment method. You represent that you are authorized to use the payment method you provide and that the payment information is accurate and complete.

9.4 Refund Policy

We offer refunds under the following circumstances:

  • Pre-production cancellation: Full refund if you cancel before production has begun
  • Post-production defects: Full or partial refund for parts that do not meet agreed specifications, subject to inspection and verification
  • Non-delivery: Full refund if parts are not delivered within 30 days of the quoted delivery date, excluding delays caused by Force Majeure events
  • Quote rejection: Full refund if we are unable to accept your order after quote acceptance

Refunds will be processed to the original payment method within 10-14 business days. Bank transfer refunds may take longer depending on your bank.

9.5 Disputes and Chargebacks

If you have a concern about a charge, please contact us first at [email protected] before initiating a chargeback with your bank. We are committed to resolving issues directly and fairly. Unauthorized chargebacks may result in account suspension.

If a chargeback is initiated, we reserve the right to provide your bank with evidence of the transaction, including order details, delivery confirmation, and communications, to demonstrate that the charge was legitimate.

9.6 Late Payment

For orders placed on credit terms (available for approved corporate accounts only), interest accrues at 2% per month on any overdue amounts. We reserve the right to suspend production and delivery of outstanding orders until all outstanding payments are received.

9.7 Taxes

All quoted prices are exclusive of applicable taxes unless stated otherwise. Singapore GST (currently 9%) will be applied to orders billed to Singapore addresses. For international orders, you are responsible for any import duties, taxes, or customs clearance fees applicable in your country.

10. Delivery and Risk

Standard lead time is 7-10 business days from order confirmation and payment. Expedited shipping (3-4 business days) is available for an additional fee. Lead times are estimates and not guaranteed.

Risk of loss or damage passes to you upon delivery of the parts to the shipping carrier at our facility. We are not liable for delays, loss, or damage caused by shipping carriers, customs processing, or Force Majeure events.

11. Quality and Warranty

Parts are manufactured to the specifications provided in your accepted quote and any accompanying drawings. Our manufacturing facility operates under a quality management system aligned with ISO 9001:2015 principles.

If you believe a part is defective, you must notify us within 14 days of delivery and provide photographic evidence of the defect. At our discretion, we will either replace the defective part or refund the purchase price. This warranty does not cover defects caused by improper use, modification, assembly, or storage after delivery.

12. Limitation of Liability

To the maximum extent permitted by law, OpusFab shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities.

Our total cumulative liability to you for any claims arising out of or relating to these Terms shall not exceed the amount you paid for the specific order giving rise to the claim, or US$500, whichever is greater. This does not apply to death or personal injury caused by our negligence, fraud, or breach of Singapore Consumer Protection (Fair Trading) Act obligations.

Prototype disclaimer: Our parts are manufactured as prototypes for testing, evaluation, and design validation purposes. They are not certified for use in safety-critical applications, medical devices, or any application where failure could result in death, personal injury, or significant property damage, unless explicitly agreed in writing. You assume all risk and liability for the use of prototype parts in any end application.

13. Indemnity

You agree to indemnify, defend, and hold harmless OpusFab Pte Ltd, its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your breach of these Terms or any representation, warranty, or covenant made by you herein
  • Your violation of any applicable law, regulation, or third-party right
  • Your use of the Services to manufacture prohibited items or items that infringe third-party intellectual property rights
  • Any claim that parts manufactured by us caused injury, damage, or loss, except where such injury, damage, or loss is proven to be directly caused by our gross negligence or wilful misconduct
  • Any claim arising from the end use or application of parts manufactured by us, including but not limited to product liability claims

This indemnity survives termination of these Terms and your use of the Services.

14. Confidentiality

We recognise that your designs, drawings, and related files are confidential and proprietary. We agree to hold all such information in strict confidence and not to disclose it to any third party except as necessary to fulfil your order (e.g., to our manufacturing facility and quality control staff).

Our obligation of confidentiality does not extend to information that: (a) is or becomes publicly available through no breach of these Terms; (b) was rightfully in our possession prior to disclosure; (c) is rightfully obtained from a third party without restriction; or (d) is required to be disclosed by law or court order.

15. Data Protection

We collect personal data only as necessary to provide our Services. Our collection, use, and disclosure of personal data is governed by the Singapore Personal Data Protection Act (PDPA) 2012. We do not sell, trade, or rent your personal data to third parties for marketing purposes.

Your account data is retained until account closure. Transaction records are retained for a minimum of 5 years per Singapore tax and accounting requirements. CAD files are deletable upon request subject to legal hold requirements.

16. Force Majeure

Neither party shall be liable for any failure or delay in performing their obligations where such failure or delay results from events beyond reasonable control, including natural disasters, war, terrorism, pandemics, supply chain disruptions, government actions, or infrastructure failures.

17. Termination and Account Suspension

We reserve the right to suspend or terminate your account and refuse any current or future use of the Services at our sole discretion, including but not limited to:

  • Violation of these Terms
  • Submission of prohibited designs or files
  • Failure to pay amounts due
  • Fraudulent or abusive activity
  • Chargebacks initiated without prior contact with us
  • Any activity that we determine may expose us to legal liability or reputational harm

Upon termination, all provisions of these Terms which by their nature should survive termination shall survive, including intellectual property provisions, indemnity, limitation of liability, and dispute resolution.

18. Dispute Resolution

The parties agree to attempt to resolve any dispute through good faith negotiation for a period of not less than 30 days after written notice. Any dispute unresolved by negotiation shall be submitted to binding arbitration in Singapore in accordance with the Arbitration Rules of the Singapore International Arbitration Centre (SIAC).

These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore.

19. General Provisions

Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

Severability: If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent permitted by law.

Waiver: Our failure to enforce any right or provision of these Terms shall not be considered a waiver of such right or provision.

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and OpusFab regarding the Services and supersede all prior agreements and understandings.

Changes: We may modify these Terms at any time. Changes will be effective immediately upon posting. Your continued use of the Services after changes constitutes acceptance of the revised Terms.
